1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of HeliusOne websites, applications, terminal software, account features, AI workflows, brokerage integrations, chat features, and related services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, you may not use the Service. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity.

2. HeliusOne Is Software, Not an Adviser

HeliusOne provides software tools for market monitoring, portfolio tracking, AI-assisted research, alerting, and order-management workflows. HeliusOne is not a registered investment adviser, broker-dealer, tax adviser, legal adviser, fiduciary, or custodian.

No content, AI output, alert, signal, portfolio proposal, trade suggestion, or system-generated order draft constitutes investment, financial, legal, or tax advice. You are solely responsible for all investment and trading decisions.

3. Eligibility and Account Security

• You must be at least 18 years old and legally able to use the Service.
• You agree to provide accurate, current, and complete account information.
• You are responsible for maintaining the confidentiality of your login credentials, brokerage sessions, API keys, devices, and account settings.
• You are responsible for all activity under your account, including activity caused by compromised devices, credentials, or third-party API keys.
• You must promptly notify us at support@heliusone.com if you suspect unauthorized access or misuse.

4. Brokerage Connections and Third-Party Services

The Service may allow you to connect brokerage accounts, AI providers, market data providers, payment processors, communication tools, and other third-party services. Those services are governed by their own terms, privacy policies, fees, outages, restrictions, and security practices.

You authorize HeliusOne to use your connected credentials, OAuth tokens, and API keys only as needed to provide the features you enable. You are responsible for reviewing and complying with all applicable brokerage and third-party provider terms.

5. AI Features and Informational Output

AI-generated content may be incomplete, inaccurate, stale, biased, or hallucinated. Confidence scores, model outputs, prediction signals, performance logs, and historical outcomes are not guarantees and do not predict future results.

You should independently verify AI output before relying on it. HeliusOne does not guarantee that any model, signal, alert, analysis, or portfolio proposal is accurate, suitable, timely, or profitable.

6. Trading Features and User Responsibility

• Express Approval and AI portfolio workflows prepare draft brokerage orders for your review. Every order requires your explicit approval before it is submitted to your brokerage — in Express Approval, you review and approve within a countdown window, the order expires unplaced if you do not approve it, and you may choose "Review later" to move the order to the Orders to Review queue on your Home screen until you decide.
• You are responsible for configuring trading toggles, dollar caps, holding-period settings, risk controls, and approval workflows.
• You must review and approve every order before it is submitted. The Service does not place orders on your behalf without your approval.
• Market orders may execute at prices different from displayed estimates. Limit orders may not execute. API, market data, or software errors may cause delays or losses.
• You accept full responsibility for all orders, fills, losses, tax consequences, and account outcomes resulting from your use of the Service.

7. Regulatory and Legal Compliance

You agree to use the Service only in compliance with applicable laws, regulations, exchange rules, brokerage requirements, and third-party terms. You may not use the Service for market manipulation, insider trading, unauthorized access, unlawful scraping, fraud, or any other prohibited activity.

You are responsible for determining whether your use of the Service is permitted in your jurisdiction and under your brokerage, employer, and regulatory obligations.

8. Subscription, Billing, and Paid Features

Some features may be offered as paid products, subscriptions, trials, or usage-based services. Fees, billing periods, cancellation terms, and refund terms will be disclosed at the point of purchase or in your account settings.

Payment processing may be handled by third-party processors. You authorize applicable charges for paid features you select. Unless otherwise stated or required by law, fees are non-refundable.

9. User Content, Chat, and Shared Analysis

You are responsible for messages, documents, attachments, shared analysis, and other content you submit or share through the Service. You must not upload or share unlawful, confidential third-party, infringing, or harmful content.

If you share analysis or attachments in chat, recipients may see the shared summary or content according to channel permissions. Do not share sensitive financial information unless you intend the relevant recipients to see it.

10. Feedback

If you provide comments, ideas, suggestions, bug reports, or other feedback, you grant HeliusOne the right to use that feedback without restriction or compensation, provided we do not use your confidential personal information except as described in our Privacy Policy.

11. Intellectual Property and License

The Service, including software, design, content, workflows, models, documentation, and branding, is owned by HeliusOne or its licensors. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your own personal or internal use.

You may not copy, modify, reverse engineer, resell, scrape, abuse, or create derivative works from the Service except as expressly permitted by law or written agreement.

12. Disclaimers

The Service is provided "as is" and "as available." HeliusOne disclaims all warranties to the maximum extent permitted by law, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, non-infringement, availability, security, profitability, and suitability.

HeliusOne does not guarantee uninterrupted access, error-free operation, accurate market data, successful order execution, favorable trading outcomes, tax accuracy, or AI correctness.

13. Limitation of Liability

To the maximum extent permitted by law, HeliusOne and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including trading losses, lost profits, lost opportunities, data loss, or losses arising from reliance on AI output or third-party services.

14. Changes to the Service or Terms

We may modify the Service or these Terms at any time. Material changes will be posted on the website or communicated through the Service when appropriate. Your continued use after changes become effective means you accept the revised Terms.
